Terms of Service

The short version: Relay helps your team sort and respond to maintenance requests, but your team makes the final call and Relay is not an emergency service. Plans are billed monthly after a 14-day free trial, and you can cancel anytime. Your company's data belongs to your company.
1. Agreement
These Terms are an agreement between The Boricua Group LLC (“Relay,” “we,” “us”) and the company that signs up for Relay (“Customer,” “you”). By creating a workspace, starting a trial, subscribing, or using Relay, you agree to these Terms. If you accept on behalf of a company, you confirm you have authority to bind it. Our Privacy Policy explains how we handle information.
2. What Relay does
Relay reads the maintenance mailboxes you connect, suggests how urgent each request is, who should handle it, and what to do next, drafts replies and job emails, sends the messages your team approves, and sends alerts and summaries you set up.
Your team stays in control. Relay's suggestions come from automated systems, including AI, and can be wrong or incomplete. You are responsible for reviewing what Relay suggests and for the decisions you make and the messages you send through it.
Relay is not an emergency service. It does not contact 911, utilities, or emergency responders, and alerts can be delayed or missed (for example if email or a provider is down). Residents and your team should always call 911 or the right emergency line when anyone may be in danger. Don't rely on Relay as your only way to learn about emergencies.
3. Accounts and your team
- Workspaces are invitation-only. You're responsible for who you invite, the roles you give them, and what they do in Relay.
- People sign in with their company Microsoft account. Keep those accounts secure and tell us promptly if you think one has been compromised.
4. Your data
- Your company owns the data in your workspace, including emails, requests, properties, and vendors (“Customer Data”).
- You give us permission to process Customer Data only to provide, secure, and support Relay for you, as described in the Privacy Policy. We may use aggregated information that doesn't identify you, your residents, or vendors to measure and improve Relay.
- You're responsible for having the right to connect your mailboxes and to use the information in them with Relay, including any notices you give residents and vendors.
- You can ask us to export or delete your Customer Data at any time.
5. Acceptable use
Don't use Relay to break the law, send spam or harassment, access mailboxes or data you aren't authorized to use, interfere with the service, try to get around its security, or resell it without our written permission.
6. Plans, trial, and billing
- Plans. Relay is billed as a flat monthly price based on the number of units in your portfolio: Essentials (up to 100 units) $99/month; Starter (up to 250 units) $199/month; Growth (up to 1,000 units) $599/month; Pro (up to 5,000 units) $1,999/month. Portfolios of 5,001 or more units are priced separately.
- Free trial. New workspaces get a 14-day free trial. A payment method is required to start it, and your plan begins automatically when the trial ends unless you cancel before then. Each company gets one free trial.
- Payment. Plans are billed monthly in advance through Stripe. Prices don't include taxes, which you're responsible for where they apply.
- Changing plans. You can switch plans anytime; Stripe prorates the difference. If your portfolio grows past your plan's unit limit, you agree to move to the plan that fits.
- Cancelling. You can cancel anytime from Settings → Billing. Cancellation takes effect at the end of the current billing period, and you keep access until then. Payments are non-refundable, including for partial months, except where the law requires otherwise.
- Failed payments. If a payment fails, we'll let you know. If it isn't resolved, we may pause your workspace until it is.
- Price changes. We'll give you at least 30 days' notice before a price change applies to your subscription.
7. Other services
Relay works with services run by others, including Microsoft 365, Stripe, and our AI and hosting providers. Their availability and terms are outside our control, and we aren't responsible for their outages or for changes they make.
8. Confidentiality and security
We keep your Customer Data confidential and protect it with reasonable security measures, as described in the Privacy Policy. You agree to keep any non-public information about Relay that we share with you confidential.
9. Warranties
We work to keep Relay reliable and useful, but it is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we don't promise Relay will be uninterrupted, error-free, or that its suggestions will be accurate.
10. Limitation of liability
To the fullest extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) our total liability for any claims related to Relay is limited to the amount you paid us for Relay in the 12 months before the claim. These limits don't apply to your payment obligations or to either party's liability that can't be limited by law.
11. Indemnity
You agree to defend and indemnify us against third-party claims arising from your Customer Data, your use of Relay in violation of these Terms, or the messages and decisions you send or make through Relay.
12. Ending the agreement
These Terms last while you use Relay. You can stop anytime by cancelling your subscription. We may suspend or end access if you seriously breach these Terms or don't pay, after giving notice where reasonable. After your account ends, you can ask us to export or delete your Customer Data as described in section 4.
13. Governing law
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Georgia, and both parties agree to that jurisdiction.
14. Changes to these Terms
We may update these Terms. For material changes, we'll update the date above and notify you by email or in Relay at least 30 days before they take effect. Continuing to use Relay after that means you accept the updated Terms.
